Integrity and Compliance are the cornerstones of CHINT Group’s sustainable development and long-term success. To uphold our core values—Customer Focus, Innovation, Continuous Learning, Integrity, Collaboration, and Responsibility—we have established a comprehensive Integrity and Compliance Programme (ICP). This program applies to all CHINT subsidiaries, employees, and business partners, ensuring ethical and responsible business practices at every level.
To be effective, our ICP is built on three fundamental pillars that ensure its strength, efficiency, and success.
Our ICP is guided by The Code of Integrity, Compliance, and Business Conduct (the “Code”), supported by Standard Operating Policies (SOPs) and additional guidelines tailored to each CHINT entity. These policies reflect the highest international standards and govern how we operate.
CHINT expects all employees and business partners to adhere to these principles, ensuring legal, ethical, and professional excellence in all business activities.
To proactively manage risks, CHINT has a structured Risk Management and Assessment process. This framework identifies, prioritizes, and assigns accountability for potential risks, including integrity and compliance challenges.
Following the Three Lines of Defense Model, risk management involves:
・Operational teams managing day-to-day risks
・Compliance, Legal, and Functional Departments (Finance, HR, Procurement, IT, etc.) providing oversight and mitigation strategies
・Internal Audit conducting independent evaluations to strengthen controls This structured approach enables us to identify, assess, and prevent risks effectively.
Our ICP Task Force brings together compliance professionals from various departments, including Compliance, Legal, Internal Audit, Finance, HR, Procurement, and IT.
The Compliance Department, operating independently with sufficient autonomy and resources, is responsible for:
・Implementing and overseeing the ICP
・Assessing and improving compliance measures
・Conducting reviews, investigations, and training to strengthen ethical practices
The success of our ICP depends on concrete, proactive measures across three key areas: Prevention, Detection, and Response.
Open Access to Information through multiple communication channels
Comprehensive Training Programs for all employees and business partners
Accurate and Transparent Record-Keeping to support ethical decision-making
Incentive Mechanisms to encourage a culture of reporting concerns
Collaborative Efforts to enhance industry standards in compliance and transparency
Clear Reporting Obligations with direct and confidential communication channels
Regular Compliance Reviews and Investigations to ensure adherence to the ICP
When misconduct is detected or reported, CHINT’s Compliance Department takes swift action, including:
Enforcing Disciplinary Measures where necessary
Enhancing Transparency through Disclosure
Strengthening the ICP with Continuous Improvements
Providing Additional Training to prevent future violations
Together, We Build a Stronger Future Ethical business practices are the foundation of our success.
By working together, we can protect and enhance our business, ensuring a sustainable and responsible future for all.
